    1. Agreement to Terms

    By accessing or using BiPact ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you may not access the Service. These Terms apply to all visitors, users, landlords, property managers, and tenants who access or use the Service.

    2. Description of Service

    BiPact is a security deposit compliance assistance tool designed to help California landlords and property managers document rental property conditions, track security deposits, generate itemized statements, and facilitate communication with tenants. The Service provides tools to assist with compliance with California Civil Code Section 1950.5 and related legislation including AB 2801, AB 414, and AB 628.

    BiPact is a compliance assistance tool and does not provide legal advice. We are not attorneys, and the information, tools, and documentation provided through the Service are for informational purposes only. Nothing in the Service constitutes legal advice or creates an attorney-client relationship.

    No Guarantee of Compliance

    While BiPact is designed to assist with California security deposit law compliance, use of the Service does not guarantee legal compliance. Laws and regulations may change, and their application depends on specific facts and circumstances. You should consult with a qualified attorney for advice specific to your situation.

    User Responsibility

    Landlords and property managers remain solely responsible for compliance with all applicable federal, state, and local laws, including but not limited to California Civil Code Section 1950.5, AB 2801 (photo documentation requirements), AB 414 (electronic deposit returns), and AB 628 (appliance requirements).

    4. User Accounts

    When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

    You are responsible for safeguarding the password used to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

    5. User Responsibilities

    As a user of the Service, you agree to:

    • Provide accurate and truthful information about properties, inspections, and security deposits
    • Take clear, timestamped photographs as required by AB 2801 for move-in and move-out documentation
    • Comply with all applicable security deposit laws and the 21-day return requirement under California law
    • Use the Service only for lawful purposes and in accordance with these Terms
    • Not use the Service to defraud, mislead, or deceive tenants or any other party
    • Ensure all deductions claimed are legitimate and properly documented
    • Respond to tenant disputes in good faith and in compliance with applicable law

    6. Tenant Portal

    The Service includes a tenant portal that allows tenants to view property documentation, inspection photos, itemized deposit statements, and communicate with landlords. Tenants accessing the Service through invitation links are also bound by these Terms. Landlords are responsible for ensuring tenant contact information is accurate and that tenants receive proper notice of their rights under California law.

    7. Data Ownership and Intellectual Property

    Your Data: You retain all rights to the content you upload to the Service, including photographs, property information, and communications. By uploading content, you grant BiPact a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving the Service.

    Our Service: The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of BiPact and its licensors. The Service is protected by copyright, trademark, and other laws.

    8. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIPACT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

    IN NO EVENT SHALL BIPACT'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO BIPACT IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

    BiPact shall not be liable for any disputes between landlords and tenants, including but not limited to disputes regarding security deposit deductions, property conditions, or the interpretation of applicable laws.

    9. Indemnification

    You agree to defend, indemnify, and hold harmless BiPact and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your violation of any rights of another party, or your violation of any applicable laws, rules, or regulations.

    10. Service Availability

    We do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time without notice to you.

    11. Termination

    We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. You may export your data prior to termination by using the available export features within the Service.

    12. Governing Law

    These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in California.

    13. Changes to Terms

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
